According to that page, the problem is that the stock offers are unregulated and the stock is unregistered.

What Dave seemed to be saying (to JL) was that he could give stock to specific individuals... there's little difference between that and giving stock to an employee.

The problem isn't "free stock", the problem is how it was being given.
