I found it... http://www.gohtm.comUnlike the abobe service, this one converts images and uses either IE4 CSS or NS4 Layers.
Sends you the results zipped. Testing in progress. A variety of $200 standalone apps.
The killer app for this is Quark conversion. There's a huge amount of archival magazines, et al. in Quark and to date, no great method for converting them to effective HTML. (There's a free PDF export from Quark for owners of Acrobat)
