In both of these cases, because you don't want to accept the licensing terms on Foo, you are effectively excluded from making FooBar.

Um, I'd say that BarSoft is excluded from making FooBar based on Foo's code. BarSoft still has talented programmers and could write FooBar from scratch.

I may want to build my own cars and sell them, but I'm not excluded from doing so just because the parts cost enough to destroy my profit margin.
